Terms of Service
These terms govern your use of VertiLinks Technologies LLC services, products, and website. By engaging with us, you agree to these terms.
1. Acceptance of Terms
By accessing or using the services provided by VertiLinks Technologies LLC ('VertiLinks', 'we', 'our'), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services or website.
2. Services
VertiLinks provides IT infrastructure, physical security systems, custom software development, digital marketing, and managed IT services. All services are subject to individual project proposals, statements of work, and service level agreements as applicable.
3. Proposals & Quotations
All quotations provided by VertiLinks are valid for 30 days unless otherwise stated. Prices are quoted in AED and exclude VAT unless explicitly mentioned. Acceptance of a quotation constitutes agreement to the scope, timeline, and payment terms outlined therein.
4. Payment Terms
Payment terms are specified in individual quotations and contracts. Standard terms require a 50% advance payment upon order confirmation with the balance due upon completion. Late payments may incur a 2% monthly charge on outstanding amounts.
5. Warranties
Hardware products carry manufacturer warranties as specified at the time of purchase. Installation work is covered by a 12-month warranty from the date of handover. Software solutions include a 90-day defect warranty from deployment.
6. Intellectual Property
All custom software, designs, and documentation created by VertiLinks remain our intellectual property until full payment is received. Upon full payment, intellectual property rights transfer to the client as specified in the project agreement.
7. Limitation of Liability
VertiLinks liability for any claim arising from services shall not exceed the total fees paid for the specific engagement. We are not liable for indirect, consequential, or incidental damages including loss of data, revenue, or business interruption.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives the termination of any agreement for a period of two years.
9. Termination
Either party may terminate a service agreement with 30 days written notice. Termination does not relieve the client of payment obligations for work already completed. AMC contracts may have specific termination clauses.
10. Governing Law
These terms are governed by the laws of the United Arab Emirates and the Emirate of Sharjah. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sharjah, UAE.
